Warning: Not all Non-Disclosure Agreements are Enforceable

In Illinois, many companies routinely have their employees sign confidentiality agreements with the full expectation that the agreement will be valid if it ever needs to be enforced. Unfortunately, this is not always the case. Recent court rulings have held that agreements that are too broad and cover information that is not truly confidential are not valid. For example, in nClosures Inc. v. Block & Co., Inc. (2014), the Seventh Circuit Court of Appeals ruled that non-disclosure agreements are unenforceable absent proof of reasonable efforts to maintain the confidentiality of the information covered in the NDA.

To ensure that non-disclosure agreements between your company and employees, contractors, and vendors are valid, it is highly recommended that you keep the agreement limited to only information that must be safeguarded. This may include client lists, proprietary software, unique formulas, patents, etc. Avoid generic NDAs that cover virtually all the information your employees and associates have access to as these types of agreements are most likely unenforceable if there is ever a breach.
